Job Descriptions
- The General Counsel (GC) shall be responsible for all legal matters, commercial contracts, company agreements, board matters and providing instruction to external counsel.
- The General Counsel shall also be responsible for driving and implementing the Company’s approved regulatory strategy as well as manage external and internal stakeholders to ensure a conducive operating environment for the company.
Job Responsibilities
Legal Services:
- Drive and implement commercial and corporate legal strategy for the Company and manage external and internal legal and corporate resources for implementing these strategies.
- Provide internal advisory services to management, as well as, other business units and departments within the Company with respect to effective operations and performance of the different units of the business.
- Provide commercial legal support on transactions, including equipment supply, lease of IP and transmission capacity, colocation, value added and other services.
- Review, draft and negotiate a wide variety of legal agreements, including sales agreements for the Companies products and services, landing party agreements, inter-carrier agreements, master services agreements, professional services agreements, joint venture and joint marketing agreements, collaboration agreements, etc.
- Support the Company in the review and implementation of business strategies and overall corporate strategies and development activities.
- Provide ongoing advice on corporate, legal and commercial issues to the Company, its executive management and Board of directors.
- Manage relationships with external counsels and ensure compliance with agreed service levels.
Regulatory & Government Relations Management:
- Drive and implement the Company’s approved regulatory strategy and manage external and internal stakeholders, to ensure a conducive operating environment for the Company.
- Represent the Company with relevant government agencies, on issues with respect to statutory, regulatory, permitting and licensing activities.
- Supervise and manage internal and external resources and activities related to government relations and regulatory affairs for the Company.
- Proactively monitor key developments and policies that could impact the Company’s operations and recommend action plans to mitigate potential risks and ensure compliance.
- Preview regulations, policies, guidelines and standards of the NCC, NCA and other relevant Government Agencies, including draft and approved or ratified documents, in order to identify threats to and opportunities for the Company’s operations and advice management accordingly.
- Ensure compliance with telecommunications regulatory bodies, as well as other Government Agencies.
- Ensure the procurement and maintenance of operating licenses, permits, authorizations and approval for the Company’s current and future commercial and non-commercial operations.
- Monitor compliance with statutory, regulatory, policy, industry and other related prescriptions with a view to ensuring the Company’s products and services comply with relevant prescriptions.
Company Secretariat:
- Develop, maintain and ensure periodic review and updates to the Board and Board Committee charters.
- Coordinate the maintenance of the registers and other records required to be maintained by the Company under the applicable corporate regulations in the respective jurisdiction where the Company currently operates or plans to operate..
- Monitor and ensure appropriate and timely execution of Company secretariat functions and duties e.g. convening of the AGMs, circulation of notices, etc.
- Attend meetings of the Company, the Board of Directors and its committees, providing necessary secretarial services and advising on compliance with the applicable rules and regulations.
- Coordinate the rendering of statutory returns and giving notification to the applicable corporate registrar at applicable jurisdiction
- Provide other administrative and secretarial duties as directed by the Directors, or the Company.
General:
- Provide overall guidance and direction in the execution of the department’s functions and activities
- Coordinate, direct and supervise the day-to-day activities of the department and ensure alignment with the overall goals and objectives of the organisation as a whole
- Interpret relevant local and international laws, regulations, government directives affecting the business, and render advice where required.
- Prepare periodic reports for the attention of internal and external stakeholders, as appropriate.
- Perform other tasks, as assigned by the CEO and Board of Directors.
- Render the foregoing duties and responsibilities to the Company’s subsidiaries and affiliates as may so be designated in the different jurisdictions where the Company operates now and in the future.
Qualifications, Skills & Competencies
Education & Experience:
- First degree in Law.
- Postgraduate/relevant professional qualification will be an added advantage.
- Twelve (12) to fifteen (15) years’ work experience with at least three to five years at senior management level.
- Experience in ICT infrastructure of services businesses will be an added advantage.
Competency Requirements:
- In-depth understanding of general and Nigerian specific Company and Commercial law.
- Knowledge of Telecoms Regulations, Legislation and Compliance and Legal Contract Drafting.
- Experience in licensing, permitting and Regulatory Affairs.
- Must possess demonstrable skills in Conflict Management and Dispute Resolution.
- Ability to think strategically and demonstrate an appreciation of the impact of various policies, issues and solutions on the Company’s operations.
- Demonstrated maturity and tact, including the ability to relate with diverse stakeholders, including regulators, law enforcement agencies, Board, etc. across multiple jurisdictions.
- Excellent organizational skills and ability to interact effectively with other attorneys and staff, diverse in-house client groups, senior executives, opposing counsel and outside personnel.
- Ability to effectively juggle competing priorities.
- Ability to work under pressure with keen attention to detail.
